• “Subscription Agreement” refers to the agreement governing the use of our Scrum Master as a Service offerings.

By accessing our website or using any of our services, you agree to be bound by these terms. The Subscription Agreement is incorporated by reference into these Terms of Service.

Scrum Master as a Service

Avanti Studio’s Scrum Master as a Service provides access to a shared team of experienced Scrum Masters and our proprietary Scrum implementation methodology. This service is designed to support and enhance your Agile practices, offering flexibility to scale according to your team size and specific feature requirements.

Confidentiality and Data Protection

Avanti Studio treats all client information with the utmost confidentiality. We will not share any data from the client with third parties unless required by law. Our data handling practices are in line with industry standards for protecting sensitive business information.

Intellectual Property Rights

Avanti Studio retains all rights, title, and interest in our methodologies, processes, and pre-existing intellectual property. Clients retain ownership of any specific deliverables created exclusively for them as part of the Scrum Master as a Service offering, as detailed in the Subscription Agreement.

Acceptable Use

You agree not to:

• Copy, distribute, modify, or reverse engineer any content without permission
• Remove or alter any copyright or proprietary notices
• Transfer, mirror, or reuse any content without permission
• Disrupt, overwhelm, or abuse Avanti Studio’s services or networks
• Transmit harassing, obscene, fraudulent, or illegal material
• Violate any applicable laws, regulations, or these Terms of Service
• Infringe on the rights of Avanti Studio or any third-party

User Responsibilities

As a user of our Scrum Master as a Service, you agree to:

• Provide necessary access to relevant systems and information
• Follow the recommended Scrum framework as advised by our Scrum Masters
• Participate actively in Scrum events and processes
• Communicate openly and honestly with the Avanti Studio team
• Respect the intellectual property rights of Avanti Studio and third parties

Privacy

Billing and Payment

The Subscription Agreement (available at https://avanti.studio/subscription-agreement/ ) details the billing and payment terms for the Scrum Master as a Service offerings. We offer multiple tiers of service to accommodate different team sizes and needs:

1. Agile Bootstrap
2. Agile Navigator
3. Agile Architect
4. Agile Accelerator

Custom service tiers may be available based on specific client needs. Services can be adjusted up or down based on the size of the teams being managed or specific features required.

For current pricing information, please refer to our website or contact our sales team. Prices are subject to change, and any changes will be communicated to existing clients as per the terms in the Subscription Agreement.

Service Level Agreements

Service Level Agreements (SLAs) are described in the features of each agreement tier. Please refer to your Subscription Agreement for specific details on the SLAs applicable to your service level.

Termination

Either party may terminate the Scrum Master as a Service by the termination provisions of the Subscription Agreement. Upon termination:

1. Avanti Studio will securely delete or return all client data as specified in the Subscription Agreement.
2. Any ongoing projects will be wrapped up or transitioned as mutually agreed upon.
3. Access to Avanti Studio’s proprietary tools and methodologies will cease.

Avanti Studio reserves the right to terminate access to the website and other services at any time for violations of these Terms of Service.

Partial Use and Pro-rating

In cases of partial use of services within a billing period, Avanti Studio may, at its discretion, pro-rate charges. No refunds will be issued for unused portions of prepaid services.

Third-Party Services

Avanti Studio may integrate with or recommend third-party tools or services as part of our offerings. While we strive to work with reputable partners, we are not liable for the performance, availability, or security of third-party services. Use of such services is subject to their respective terms and conditions.

Limitation of Liability

Avanti Studio shall not be liable for any damages arising from using the website or services, including direct, indirect, incidental, punitive, or consequential damages. Further limitations may apply to the Scrum Master as a Service offerings as set out in the Subscription Agreement.

Indemnification

You agree to fully indemnify and hold harmless Avanti Studio from any claims, damages, or expenses resulting from your use of our website or services.

Governing Law and Dispute Resolution

The laws of the Commonwealth of Virginia, USA shall govern these Terms of Service. Any disputes will be subject to the exclusive jurisdiction of the courts in Virginia. Both parties agree to attempt to resolve any disputes through good-faith negotiations before resorting to formal legal proceedings.

Changes to Terms

Avanti Studio reserves the right to amend these Terms of Service at any time. Your continued use after posting changes means you’ve accepted the revised terms. We will make reasonable efforts to notify users of significant changes.
